**Great Lakes Wine & Spirits** (GLWAS) agreed to acquire **RNDC Michigan**’s ADA business and, together with **Imperial Beverage** and **Vintage Wine Company**, to acquire RNDC Michigan’s wine business. GLWAS is also partnering with **National Wine & Spirits** (NWS) to acquire RNDC’s building in Livonia. The acquisitions are subject to the Bankruptcy Court's approval.

**Joe Cekola**, CEO of Imperial Beverage, said, “We are proud of the opportunity to provide greater clarity around the future of the Michigan market, as well as the people and brands that are part of it. We will work closely with RNDC during this transition to help stabilize the business and support a smooth holiday season.”

**Michelle Giorgio**, President of Vintage Wine, said, “As a family-owned Michigan company, we are excited to potentially acquire a portion of RNDC Michigan’s wine and non-alcoholic portfolio, which would expand our footprint and create future growth opportunities for our team.”

**Lewis Cooper**, Co-CEO of GLWAS, said, “We all recognize the responsibility that comes with this potential acquisition. We are looking forward to working with the MLCC, retailers and suppliers and hearing their ideas and concerns about how we can help improve the best Control State Model in the country.”

**Syd Ross**, Co-CEO of GLWAS, added, “If the pending transaction closes, the ADA business would still be operated as NWS and our priority is ensuring a smooth transition for our suppliers, customers, and employees.”

**Marc Sachs**, President and CEO of RNDC, said, “Our associates have played an important role in building RNDC’s presence in Michigan, and we are deeply grateful for their dedication and contributions over the years. This represents an important step in our efforts to transition our Michigan operations responsibly. We appreciate the collaboration of GLWAS, Imperial Beverage and Vintage Wine Company as we work through this process, with a continued focus on supporting our associates, customers and supplier partners.”

In light of RNDC’s chapter 11 filing, these transactions are subject to approval by the United States Bankruptcy Court for the Southern District of Texas and the satisfaction of certain customary regulatory approvals and closing conditions. The parties are working to close the pending transactions between Oct. 30 and Nov. 15.
