# Martignetti to Acquire RNDC's National Control State Business

**Martignetti Cos**. and **Republic National Distributing Co**. (RNDC) said they reached an initial agreement for Martignetti to acquire RNDC's Control State operations. Terms weren't disclosed.

The transaction includes the states of Alabama, Idaho, Iowa, Maine, Michigan, Mississippi, Montana, New Hampshire, North Carolina, Ohio, Oregon, Pennsylvania, Utah, Vermont, Virginia, West Virginia and Wyoming. The pending transaction is expected to close this summer, subject to customary regulatory approvals and closing conditions. 

Martignetti currently operates in the six New England states. The potential acquisition positions Martignetti to offer a complete control state platform, giving Martignetti’s supplier partners and customers a single, unified solution across every control state market in the U.S. 

"We have built a strong, service-driven model in New England, including three successful control states, and are eager to bring that experience to scale on behalf of supplier and customer partners,” said **Carmine and Carl Martignetti**, Principals of Martignetti Cos. in a statement. “We are excited about the opportunity to welcome members of RNDC’s talented team to Martignetti.”

Until the transaction is completed, RNDC and Martignetti Companies will continue to operate as separate businesses.
